1. Agreement to Terms

By accessing or using Sidekick ("we," "us," "our"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

2. Eligibility

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you meet this age requirement and have the right, authority, and capacity to enter into these Terms.

3. Accounts

When you create an account with us, you must provide accurate and complete information. You are solely responsible for safeguarding your account password and for any activities or actions under your account.

You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate your account if any information provided during registration proves to be inaccurate, not current, or incomplete.

4. Our Services

Sidekick provides an AI-powered automation platform that allows users to create workflows and automations between various applications and services.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

5. Subscriptions

Some aspects of the Services may be provided for a fee or other charge. If you elect to use paid aspects of the Services, you agree to the pricing and payment terms as we may update them from time to time.

We may add new services for additional fees and charges, or amend fees and charges for existing services, at any time in our sole discretion.

5.1. Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing cycle, and you will have access to the paid services until the end of that cycle.

5.2. Refunds

All payments are non-refundable except as required by law or as otherwise specifically permitted in our refund policy.

6. User Content

Our Services allow you to create automations, upload data, and create other content ("User Content"). You retain all rights to your User Content.

By using our Services, you grant us a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, and create derivative works of your User Content for the purpose of providing, improving, and promoting our Services.

You are solely responsible for your User Content and the consequences of posting or publishing it. We reserve the right to remove any User Content that violates these Terms.

7. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Copying, distributing, or disclosing any part of the Services in any medium
• Using any automated system to access the Services in a manner that sends more request messages than a human could reasonably produce
• Compromising the integrity of our systems or bypassing any measures we may use to prevent restricted access
• Uploading invalid data, viruses, worms, or other software agents
• Impersonating another person or otherwise misrepresenting your affiliation with a person or entity
• Interfering with the proper working of the Services
• Accessing any content on the Services through any technology or means other than those provided by the Services
• Using the Services for any illegal purpose or in violation of any laws

8. Intellectual Property

The Services and their original content, features, and functionality are and will remain the exclusive property of Sidekick and its licensors. The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Sidekick.

9. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Disclaimers

Your use of the Services is at your sole risk. The Services are provided on an "AS IS" and "AS AVAILABLE" basis. The Services are provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not warrant that a) the Services will function uninterrupted, secure, or available at any particular time or location; b) any errors or defects will be corrected; c) the Services are free of viruses or other harmful components; or d) the results of using the Services will meet your requirements.

11. Limitation of Liability

In no event shall Sidekick, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

Whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

12. Indemnification

You agree to defend, indemnify, and hold harmless Sidekick and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Services, by you or any person using your account and password; b) a breach of these Terms; or c) Content posted on the Services.

13. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any dispute arising from these Terms and your use of the Services will be resolved through final and binding arbitration in San Francisco, California, rather than in court.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
